Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and NovusPraxis ("NovusPraxis", "we", "us", or "our") and govern your access to and use of our project-management platform, websites, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and able to form a legally binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and "you" refers to that organization.
2. Your account
You are responsible for safeguarding your account credentials and for all activity that happens under your account. Keep your information accurate and up to date, use a strong password, and notify us promptly at support@novuspraxis.app if you suspect any unauthorized use. We are not liable for losses caused by unauthorized use of your account.
3. Organizations and team members
The Service is organized around organizations, workspaces, and projects. The person who creates an organization, or who is assigned as its owner or admin, is responsible for managing members, their roles and permissions, and the organization's subscription and billing. If you are invited to an organization, your access is controlled by that organization's administrators, who may add, remove, or change your role at any time.
4. Acceptable use
When using the Service, you agree not to:
- Use the Service for any unlawful purpose or to infringe the rights of others.
- Upload or share content that is illegal, harmful, abusive, or that you do not have the right to share.
- Upload malicious code or attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Service or its underlying systems.
- Attempt to access data or accounts that do not belong to you, or circumvent plan limits or access controls.
- Resell, sublicense, or use the Service to build a competing product.
We may suspend or limit access to protect the Service or its users if we reasonably believe these Terms are being violated.
5. Your content
You retain ownership of the organizations, workspaces, projects, tasks, comments, files, and other content you create or upload ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely as needed to operate and provide the Service to you and the members of your organization. You are responsible for Your Content and for having the rights necessary to share it.
6. Plans, billing, and trials
The features, usage limits, and prices of each plan are described on our pricing page. Some plans include a free tier or a trial period. Paid subscriptions are billed in advance on a monthly or yearly cycle through our payment processor, Stripe, and renew automatically until cancelled. You authorize us to charge your payment method for the applicable fees, including any taxes. Fees are exclusive of taxes unless stated otherwise.
7. Upgrades, downgrades, cancellation, and refunds
- Upgrades take effect immediately, and the new rate applies from that point.
- Downgrades and cancellations take effect at the end of your current billing period; you keep paid features until then.
- You can cancel at any time from your account settings. When you cancel, your subscription will not renew for the next period.
- Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused features.
8. Service availability and changes
We work to keep the Service available, reliable, and secure, but we do not guarantee uninterrupted or error-free operation. We may add, change, or remove features, and we may perform maintenance that temporarily affects availability. If we discontinue a material feature you rely on, we will try to give reasonable notice.
9. Our intellectual property
The Service, including its software, design, and the NovusPraxis name and logo, is owned by us and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or to copy, modify, or distribute the Service except as expressly allowed.
10. Third-party services
The Service relies on third-party providers (such as Google for sign-in, Stripe for payments, and others described in our Privacy Policy). Your use of those providers may be subject to their own terms, and we are not responsible for their services.
11. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or be uninterrupted, secure, or error-free.
12. Limitation of liability
To the maximum extent permitted by law, NovusPraxis will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold NovusPraxis harmless from any claims, damages, or expenses arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.
14. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or use the Service in a way that may harm us or others. On termination, your right to use the Service ends; sections that by their nature should survive (such as content ownership, disclaimers, and limitation of liability) will continue to apply. Account and content data is handled as described in our Privacy Policy.
15. Governing law
These Terms are governed by the laws applicable in the jurisdiction in which NovusPraxis is established, without regard to conflict-of-law rules. Where required by mandatory consumer-protection laws of your country of residence, those protections still apply to you.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
